Fernando Vives Ruiz from Garrigues has the following opinion the status of the Spanish M&A activity in 2006 and beyond: Spanish M&A has shown growth, strength and excellent prospects in recent years, as investors are finding in Spain a truly attractive market. In the past year, five main features have marked M&A in Spain. First, the record of activity has been broken both in number of deals and in total volume. The number of deals increased by more than one-fifth, exceeding 1,000 deals according to the available statistics, and by more than a half in total volume. This was more than the transaction volumes reached in countries such as Italy and France, and almost equalling those of regions that are traditionally more active, such as Germany, Benelux or the Nordic countries. The average deal size also increased. Second, private equity has surged, with the arrival of new operators specializing in the top- and mid-markets extending their investment activities to sectors that they had not penetrated to date. In addition, the raising of new investment funds has increased market liquidity, promoting larger deals. Third, the listed companies segment has been very active, both in takeover bids, among which those launched on Endesa, Telepizza, Metrovacesa, Colonial, Europistas, Urbis, Fadesa and Parquesol are to be noted, and in acquisitions of significant shareholdings such as with the purchase of relevant stakes in energy major companies such as Endesa, Repsol YPF, Uni—n Fenosa and Iberdrola. Fourth, it is worth mentioning that Spanish companies have become more active abroad, where they have continued to expand in Eastern Europe, China and Latin America. They have also made larger acquisitions in other European countries like the UK. Finally, there has been a major surge in the bank leverage of acquisitions, which has strengthened the acquisitions finance market, together with project finance, which has led to development in infrastructure, energy and environmental activities.
