About M&A in the data management and document management

M&A in the physical document management

Corporate Finance in Europe is mainly active in m&a (mergers & acquisitions) deals with the focus on the physical part of document management. A large number of organizations currently outsource their archive to specialized document management organizations. These services include; archive storage, archive operations, archive management, scanning, digitizing the archive and finally the secured destruction of the archives.

Corporate Finance trends in the data management industry

The documents management market is an industry with a lot of movement due to technological changes. Although more and more documents are stored online, the amount of physical archives has not decreased yet. Documents management is fairly closely related to data management that includes database management, data architecture, analysis and design. Due to the changes in the industry company structures are in need of review. Due to this buying and selling of businesses in the data management services industry occurs more often than in an average industry.
Large companies in the documents management industry are very active in M&A activity especially when it concerns records storage. A company like Iron Mountain who is a leader in document storage has been interested in buying companies that do physical storage of archives in most of the European countries. Iron mountain is very active on the m&a front by acquiring document storage companies to posses the physical locations for archive storage.
Iron Mountain is currently buying stored boxes only as well via a structure that is called PUMV (Pick Up and Move). In this case the buildings are excluded from the M&A transaction and focus is purely on the boxes, the contracts and the recurring revenue. Only assets and contracts are bought (asset-deal) and not the legal entity.
Remondis, a large German buyer, is interested in buying companies that do physical storage (document management). It is buying these businesses via itÕs subsidiary Rhenus. Remondis itself is active in buying companies in the document destruction field (archive shredding or archive destruction). Very often these services, document storage and destruction, are done by one and the same company as they are both part of the complete cycle of data management.
Cintas is a company that is interested in acquisitions in both the document storage as well as the document destruction field. Cintas has been entering the European market in 2007 starting with the purchase of a Dutch company.
Another company that is interested in business owners selling their business in the document management field is Crown Relocations. Different to the other companies Crown is also interested in buying real estate as Crown is a privately held company where the owners had good experiences with real estate in the past. Crown is less interested in consultancy solutions and other services around the data management.
Recall has been active with European M&A in the past. Due to a change in management the company is now focusing more on organic growth instead of growth via buying companies. There is more companies interested in acquiring businesses. Feel free to contact us to get more information on this.

If you are a business owner and are planning on selling your company in the document management industry it is good to have an experienced partner, like Corporate Finance in Europe, help you with industry knowledge like the pricing of deals (based on EBITDA or cash flow multiples or discounted cash flows). M&A on scanning in the document management industry

Scanning is an important service related to document management and is part of the complete cycle in this industry. Documents need to be available Ôon-lineÕ and on demand. This can be achieved with a good document management system. Most of the strategic buyers in the document industry are interested in scanning activities. Main activities of data management are database management, data analysis, data design, data security management, data warehousing, content management, business intelligence management etc. Document management and records management are both a part of data management.

M&A on consultancy, outsourcing and detachment

Consultancy services and outsourcing/detachment in document management industry are not yet services that companies like Iron Mountain, Recall, Cintas, Crown or Remondis are too much interested in as the revenues are non-recurring which has some risks attached to it. In the near future these services can be part of m&a buy and build strategies of large acquirers. See more on our buy and build services

Forecast Corporate Finance in Europe on records management

In 2006, 2007 and 2008 we have seen a clear consolidation trend in the European records management and destruction market. Large consolidators are entering the market and buying companies in the field of records management and destruction. Outsourcing records files is still in an early stage in a country like Germany, whereas the markets in France and the UK are more mature. In the latter countries more records have been outsourced already. The Benelux (Netherlands, Belgium and Luxembourg) are in between the former mentioned countries. Especially in Belgium quite a lot of outsourcing of company records is still to be expected. For business owners wanting to sell their companies the time is relatively good. On the one hand the outsourcing market is still growing, which leaves more potential open for the future. On the other hand we see price pressure as competition gets more intense which we expect to continue. This will make it more difficult for smaller companies to compete.
Corporate Finance in Europe has a good understanding of the requirements and strategies of most companies in the document management industry and can help potential sellers in successfully selling their data management company.
